1. Agreement to Terms

By accessing or using Agent Resources ("Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you may not use the Platform.

"You" or "Customer" refers to the individual or entity creating a workspace. "We", "us", or "Agent Resources" refers to the operator of the Platform.

2. Account Registration & Workspaces

You must create an account using a valid email address or supported OAuth provider (Google, GitHub). You are responsible for safeguarding your credentials and for all activity under your account.

Each account is associated with one or more workspaces. Workspace owners are responsible for managing members, billing, and agent registrations within their workspace.

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Platform.

3. Plans, Billing & Payments

The Platform offers Free, Starter ($15/mo), Pro ($39/mo), Team ($99/mo), and Enterprise (custom) tiers. Plan features, limits, and pricing are described on our Pricing page and may change with 30 days' notice.

Paid subscriptions are billed monthly via Stripe. By subscribing, you authorise recurring charges to your payment method. You may cancel at any time; access continues until the end of the current billing period.

x402 payments (USDC on Base) are processed on-chain. Once verified on-chain, x402 transactions are final and non-refundable except where required by law.

We may suspend access if payment fails after a 7-day grace period. During grace, existing features remain accessible but new agent registrations and scans are paused.

4. Platform Services

The Platform provides agent management, 8-layer security scanning, Know Your Agent (KYA) certification, a curated Skill Library, Mission Control (LLM-powered assistant), fleet management, memory storage, referral tracking, and API access — subject to your plan tier's limits.

Scan results and KYA assessments are informational only. They do not constitute security guarantees, audits, or legal certifications.

We may modify, suspend, or discontinue any feature with reasonable notice. Core functionality changes affecting paid tiers will be communicated at least 30 days in advance.

5. API & SDK Usage

API access is governed by per-tier rate limits. You must not circumvent rate limits, reverse-engineer the API, or use automated tools to scrape data beyond your authorised scope.

API keys are workspace-scoped secrets. You are responsible for rotating compromised keys promptly. We are not liable for unauthorised use resulting from leaked keys.

6. Intellectual Property

You retain ownership of your data (agent configurations, metrics, memory entries). We retain ownership of the Platform, its codebase, documentation, branding, and the curated Skill Library.

By using the Platform, you grant us a limited, non-exclusive licence to process your data solely to provide and improve the services.

7. Limitation of Liability

To the maximum extent permitted by law, Agent Resources is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

Our total aggregate liability for any claim arising from these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100.

8. Termination

You may delete your account at any time via Settings → Security → Delete Account. We will cancel active subscriptions and purge your data within 30 days, subject to legal retention requirements.

We may suspend or terminate your access for violation of these Terms or the Acceptable Use Policy, with or without notice depending on severity.

9. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which Agent Resources is incorporated. Any disputes will be resolved through binding arbitration, except where prohibited by local law.

Nothing in these Terms limits your statutory consumer rights.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.
