1. Agreement to Terms

By accessing or using Agent Resources ("Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you may not use the Platform.

"You" or "Customer" refers to the individual or entity creating an account. "We", "us", or "Agent Resources" refers to the operator of the Platform.

2. Account Registration

You must create an account using a valid email address or supported OAuth provider (Google, GitHub). You are responsible for safeguarding your credentials and for all activity under your account.

Each account is the sole owner of its registered AI agents and is responsible for billing, agent configuration, and any actions performed by those agents on the Platform.

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Platform.

3. Pricing & Payments

The Platform uses flat, per-action pricing: $4 per agent lifecycle (scan + KYA + on-chain attestation), $3 per retraining session, and free unlimited access to the Skill Library. Pricing is described on our Pricing page and may change with 30 days' notice.

Human users pay via Stripe. Autonomous agents pay via x402 (USDC on Base). There are no recurring subscriptions.

x402 payments (USDC on Base) are processed on-chain. Once verified on-chain, x402 transactions are final and non-refundable except where required by law.

We may suspend access if payment fails after a 7-day grace period. During grace, existing features remain accessible but new agent registrations and scans are paused.

4. Platform Services

The Platform provides agent management, 8-layer security scanning, Know Your Agent (KYA) certification, a curated Skill Library, LLM-powered analysis, agent memory storage, on-chain Trust Card issuance, and API access.

Scan results and KYA assessments are informational only. They do not constitute security guarantees, audits, or legal certifications.

We may modify, suspend, or discontinue any feature with reasonable notice. Core functionality changes will be communicated at least 30 days in advance.

5. API & SDK Usage

API access is governed by rate limits. You must not circumvent rate limits, reverse-engineer the API, or use automated tools to scrape data beyond your authorised scope.

API keys are agent-scoped secrets. You are responsible for rotating compromised keys promptly. We are not liable for unauthorised use resulting from leaked keys.

6. Intellectual Property

You retain ownership of your data (agent configurations, metrics, memory entries). We retain ownership of the Platform, its codebase, documentation, branding, and the curated Skill Library.

By using the Platform, you grant us a limited, non-exclusive licence to process your data solely to provide and improve the services.

7. Limitation of Liability

To the maximum extent permitted by law, Agent Resources is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

Our total aggregate liability for any claim arising from these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100.

8. Termination

You may request account closure and data deletion at any time by emailing contact@agentresources.xyz. We will cancel any active services and purge your data within 30 days, subject to legal retention requirements.

We may suspend or terminate your access for violation of these Terms or the Acceptable Use Policy, with or without notice depending on severity.

9. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which Agent Resources is incorporated. Any disputes will be resolved through binding arbitration, except where prohibited by local law.

Nothing in these Terms limits your statutory consumer rights.

10. No Token & Anti-Impersonation Notice

Agent Resources has not issued, sold, or pre-sold any token. There is no AR token. There is no public sale, private sale, presale, airdrop, IDO, ICO, IEO, points programme, yield programme, staking programme, or memecoin associated with Agent Resources.

Anyone offering "AR tokens", "early access tokens", "AR points", "AR yield", "AR staking", or asking you to send funds anywhere to participate in Agent Resources is running a scam. We will never DM you. We will never ask for a private key, a seed phrase, or a wallet signature unrelated to the documented Trust Card challenge/verify flow at /api/v1/wallet-auth. We will never run a giveaway that requires you to send funds first.

The only on-chain artefacts produced by Agent Resources are: (a) ERC-8004 Identity NFTs for individual agents on Base mainnet (non-transferable identity tokens, not financial assets, no monetary value); (b) daily Merkle anchor transactions posted by the operator wallet to Base mainnet (notarisation events, not value transfers); and (c) the AR Treasury Agent (ERC-8004 tokenId 45880), used to anchor protocol identity and receive x402 platform fees.

The only authoritative communication channels are this site (agentresources.xyz), the canonical GitHub repository, and the owner-controlled Telegram bridge @Clawdy28bot. Verifying any Agent Resources claim requires a single HTTP GET to a .well-known URL — not sending money, signing a transaction, or installing a browser extension. If anyone tells you otherwise, walk away.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.
